Job Description

We have been mandated by Heartland Group Holdings Limited (NZX/ASX: HGH) to appoint a Corporate Finance Manager into its high-performing in-house Corporate Finance team at a pivotal point in the Group’s growth.


Heartland recently announced its proposed $620 million acquisition of TSB and subsequent merger of TSB and Heartland Bank, which, subject to shareholder and regulatory approvals, will create a New Zealand challenger bank of significantly greater scale.


The transaction represents an important next chapter for Heartland and creates an exciting backdrop for the Corporate Finance team, which sits at the centre of the Group’s M&A, capital markets, funding, capital management and broader strategic activity across New Zealand and Australia.


The Corporate Finance team has an established track record of executing significant transactions. In addition to the proposed TSB transaction, recent activity has included Heartland’s expansion into Australian banking, supported by a major equity raise, multiple capital markets issuances, and the acquisition of a specialist agribusiness lender.


The successful candidate will work closely with the Head of Corporate Finance, Chief Strategy Officer, CEO and Board, providing high-quality financial analysis and commercial insight to support strategic capital allocation and decision-making. With the proposed TSB transaction underway, the role will also have exposure to the corporate finance, capital and strategic work associated with a transformational transaction of this scale, alongside Heartland’s wider growth agenda.


Key responsibilities include:

  • Evaluating and executing corporate finance initiatives, including M&A, funding transactions and capital management
  • Supporting corporate finance and strategic work associated with the proposed TSB acquisition and merger
  • Building and maintaining financial models, valuations and investment papers to support key decisions
  • Assessing capital allocation, transaction structures and strategic opportunities across the Group
  • Delivering high-quality analysis and recommendations to senior leadership and the Board
  • Developing and managing relationships with internal stakeholders, advisers and other external parties


We’re seeking candidates who offer:

  • 6–10 years’ experience in corporate finance, investment banking, M&A, capital markets or a relevant in-house M&A and corporate development environment
  • Strong transaction execution experience
  • Advanced financial modelling and valuation skills
  • Strong analytical and problem-solving capability with excellent attention to detail
  • Commercial judgement and the ability to communicate complex analysis clearly
  • Proven ability to influence and engage senior decision-makers
  • CFA or CA qualifications are advantageous but not essential
  • Familiarity with the New Zealand and/or Australian banking and regulatory environment would be well regarded
